Terms & Conditions

Please read these terms carefully before using BongoChat. By using our services, you agree to be bound by these terms in accordance with the laws of Bangladesh.

Welcome to BongoChat. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bongo Software Limited ("BongoChat," "we," "us," or "our"), a company incorporated and operating under the laws of Bangladesh. These Terms govern your access to and use of the BongoChat mobile application, website, and all related services (collectively, the "Service"). By creating an account, downloading, accessing, or using BongoChat, you acknowledge that you have read, understood, and agree to be bound by these Terms, our গোপনীয়তা নীতি, and any additional policies or guidelines we may provide from time to time.

If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using BongoChat in any manner, you represent and warrant that:

You have reached the age of majority under Bangladeshi law (18 years) or, if you are between 13 and 18 years old, you have obtained the verifiable consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

You have the legal capacity to enter into a binding agreement under the Contract Act 1872 of Bangladesh.

You have read and understood the Privacy Policy, which is incorporated into these Terms by reference, and you consent to the collection, use, and processing of your data as described therein.

You will comply with all applicable local, national, and international laws and regulations in your use of the Service, including but not limited to the Digital Security Act 2018, the Information and Communication Technology Act 2006 (as amended), and the Telecommunication Regulation Act 2001 of Bangladesh.

These Terms apply to all users, including visitors, registered users, and any other persons who access or use the Service. BongoChat reserves the right to update these Terms at any time as described in Section 13.

2. Description of Service

BongoChat is a Bangladesh-based social communication platform that provides the following core features:

End-to-End Encrypted Messaging

One-on-one and group text messaging with end-to-end encryption, ensuring that only you and your intended recipients can read your messages.

Voice & Video Calls

High-quality, end-to-end encrypted voice and video calling for personal and group conversations.

মোমেন্টস

A permanent social feed where you can share text, images, and videos with your followers and the broader BongoChat community.

স্টোরিজ

Ephemeral 24-hour photo and video updates that disappear automatically after the viewing period, giving you a fun, low-pressure way to share moments.

BongoQR

A QR code-based friend discovery feature that allows you to quickly and securely connect with other BongoChat users nearby.

A loyalty and rewards program that lets you earn points through active engagement, which can be redeemed for in-app perks, premium features, or other rewards.

BongoChat reserves the right to modify, suspend, or discontinue any part of the Service (including the availability of any feature, database, or content) at any time, with or without prior notice, and without liability to you. We may also impose limits on certain features or restrict access to parts of or the entire Service at our sole discretion.

3. Eligibility & User Accounts

3.1 Eligibility

You must be at least 13 years of age to create an account. Users between 13 and 18 must have parental or guardian consent.

You must not have been previously banned or suspended from BongoChat.

BongoChat is primarily intended for users within Bangladesh. Users from other jurisdictions are responsible for ensuring their use complies with their local laws.

3.2 Account Registration & Security

You must provide accurate, current, and complete information during registration and keep it updated at all times. Providing false information may result in immediate suspension or termination of your account.

You are solely responsible for maintaining the confidentiality and security of your account credentials (password, PIN, or any authentication method). You must not share your login credentials with any other person.

You accept full responsibility for all activities that occur under your account, whether or not you authorized such activities. You must immediately notify BongoChat if you discover or suspect any unauthorized access or use of your account.

Each person may maintain only one active BongoChat account. Creating multiple accounts, bot accounts, or accounts under false pretenses is prohibited and may result in the suspension of all associated accounts.

4. End-to-End Encryption & Communication Privacy

BongoChat employs end-to-end encryption (E2EE) for all personal communications, including one-on-one chats, group chats, voice calls, and video calls. This is a core architectural feature of our platform and is enabled by default for all users.

What This Means for You

Your messages are encrypted on your device before transmission and can only be decrypted by your intended recipient's device. BongoChat servers act solely as relay points for encrypted data and cannot access, read, or decrypt the content of your communications.

Limitation of E2EE

E2EE protects your communications in transit and at rest on our servers. However, E2EE does not protect against: (a) compromise of your or your recipient's physical device, (b) screenshots or screen recordings taken by a participant, (c) content you voluntarily share outside of BongoChat, or (d) Moments and Stories content which are hosted on our servers for social sharing as intended.

Moments & Stories

While chat messages and calls are end-to-end encrypted and not stored on our servers, Moments (permanent posts) and Stories (ephemeral posts) are social features that require server-side hosting. Content posted via Moments and Stories is subject to our content guidelines and may be reviewed for compliance, as described in Section 6.

5. User Conduct & Community Guidelines

You agree to use BongoChat in a manner that is lawful, respectful, and consistent with the rights and safety of others. The following activities are strictly prohibited:

Illegal Content: Posting, sharing, or distributing content that violates any Bangladeshi law, including content that is defamatory, obscene, pornographic, or otherwise prohibited under the Digital Security Act 2018 or the Penal Code 1860.

Harm & Harassment: Engaging in bullying, harassment, hate speech, threats, intimidation, or any conduct that causes distress, fear, or harm to any person, including cyberbullying under applicable Bangladeshi law.

Impersonation & Fraud: Impersonating any person, entity, or government official, or creating a false identity with the intent to deceive, defraud, or mislead others.

Spam & Unsolicited Messages: Sending unsolicited bulk messages, chain letters, commercial promotions, or any form of spam to other users who have not consented to receive such communications.

Malware & Exploits: Uploading, transmitting, or distributing viruses, malware, ransomware, spyware, or any code or program designed to disrupt, damage, or gain unauthorized access to the Service, other users' devices, or any associated systems.

Unauthorized Access: Attempting to circumvent, disable, or interfere with security features, access controls, rate limits, or any other technical measures that protect the Service and its users.

Data Harvesting: Using automated means, bots, scrapers, or any method to collect, extract, or harvest personal data, contact information, or content from other users without their explicit consent.

Reverse Engineering: Decompiling, disassembling, reverse engineering, or attempting to extract the source code of BongoChat, or creating derivative works based on the Service.

Child Exploitation: Sharing, distributing, or promoting content that exploits, endangers, or abuses minors in any way. BongoChat has zero tolerance for child sexual abuse material (CSAM) and will report any such content to law enforcement and the relevant Bangladeshi authorities immediately.

Religious & Communal Incitement: Posting content that incites hatred, violence, or discrimination based on religion, ethnicity, gender, disability, or any other protected characteristic, in compliance with applicable Bangladeshi law.

Enforcement: BongoChat reserves the right to investigate, warn, temporarily suspend, or permanently terminate any account found to be in violation of these guidelines. In cases involving potential criminal activity, we may report the matter to the appropriate Bangladeshi law enforcement authorities, including but not limited to the Cyber Crime Unit of the Bangladesh Police.

6. Content Ownership & Intellectual Property

6.1 Your Content

You retain all ownership rights to the content you create and share on BongoChat, including messages, Moments, Stories, and profile information. However, by submitting, posting, or displaying content on or through the Service, you grant BongoChat a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, cache, reproduce, modify (to the extent necessary for technical formatting), transmit, and display such content solely for the purpose of:

Providing and operating the Service to you and other users.

Delivering your content to the intended recipients (for E2EE-protected communications, this license is limited to relaying encrypted data).

Hosting and displaying your Moments and Stories to your followers and the community as intended by the feature.

This license does not transfer ownership of your content to BongoChat. You may delete your content at any time, subject to the limitations described in our Privacy Policy regarding data retention and backups.

6.2 BongoChat Intellectual Property

The BongoChat name, logo, app icon, user interface design, graphics, sounds, artwork, and all other elements of the Service are the exclusive intellectual property of Bongo Software Limited and are protected under the Copyright Act 2000 and Trademark Act 2009 of Bangladesh, as well as applicable international intellectual property treaties.

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without our prior written consent. You may not use any BongoChat trademarks, service marks, or trade dress in any manner that could cause confusion about the source or affiliation of any product or service.

7. Bongo Points & Rewards Program

BongoChat may offer a loyalty and rewards program called "Bongo Points" that allows users to earn points through platform engagement. The following terms apply:

Earning: Points may be earned through activities such as daily logins, sending messages, posting Moments, inviting new users, or other engagement actions as determined by BongoChat. The earning rate and eligible activities may change at any time at our sole discretion.

Redemption: Points can be redeemed for in-app perks, premium features, or other rewards as made available within the app. BongoChat reserves the right to modify the redemption catalog, point values, or available rewards at any time without prior notice.

No Monetary Value: Bongo Points have no monetary value, cash equivalent, or exchange rate with any currency. They are a virtual loyalty mechanism and cannot be sold, transferred, exchanged for cash, or assigned to any third party.

Forfeiture: Points may expire or be forfeited if your account is suspended, terminated, or if you have not been active on the platform for a period exceeding 12 consecutive months. Upon account deletion, all accumulated points are permanently forfeited with no right to compensation.

Abuse Prevention: Any attempt to exploit, manipulate, or fraudulently accumulate Bongo Points (including through the use of bots, multiple accounts, or any artificial means) will result in the immediate forfeiture of all points and potential suspension of your account.

8. Privacy & Data Protection

Your privacy is fundamental to BongoChat. Our data practices are governed by our গোপনীয়তা নীতি, which is incorporated into these Terms by reference and forms an inseparable part of this agreement. Key principles include:

End-to-End Encryption: All chat messages, voice calls, and video calls are end-to-end encrypted. BongoChat does not store, read, or have access to the content of your encrypted communications.

Data Minimization: We collect only the minimum personal data necessary to provide and improve our services, in compliance with the Personal Data Protection Act 2023 of Bangladesh.

No Data Sale: BongoChat does not sell, rent, or trade your personal data to any third party for advertising, marketing, or any other purpose.

Your Rights: You have the right to access, rectify, port, and delete your personal data at any time, as detailed in Section 7 of our Privacy Policy. Requests can be submitted through the app or by emailing [email protected].

9. Payment Terms

Certain features or services within BongoChat may be offered on a paid basis. If you choose to purchase any paid service, the following terms apply:

Pricing & Currency: All prices are displayed in Bangladeshi Taka (BDT) unless otherwise stated. Prices are subject to change with prior notice. Applicable taxes (including VAT as mandated by the National Board of Revenue) will be added to the purchase price.

Payment Processing: Payments are processed through authorized and secure third-party payment gateways (e.g., bKash, Nagad, Rocket, or credit/debit card processors). BongoChat does not store your full payment card details on our servers.

Refund Policy: Unless otherwise required by the Consumer Rights Protection Act 2009 of Bangladesh, all purchases are final and non-refundable. If you experience a technical issue that prevents you from accessing a paid feature, contact our support team for assistance. We will assess refund requests on a case-by-case basis.

Subscription Cancellation: If a paid service is subscription-based, you may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of the current billing period. No partial refunds will be issued for unused portions of a billing period.

10. Suspension & Termination

10.1 By BongoChat

We reserve the right to suspend or terminate your account and access to the Service, with or without prior notice, in the following circumstances:

You materially breach any provision of these Terms and fail to cure such breach within 7 days of receiving written notice from BongoChat (except in cases of severe violations, which may result in immediate termination without notice).

You engage in conduct that is illegal, harmful, or poses a threat to the safety of other users, the platform, or the public.

We are required to do so by a court order, government directive, or other legal requirement under Bangladeshi law.

We cease operating the Service or a material part thereof (in which case we will provide reasonable advance notice where possible).

Your account has been inactive for more than 24 consecutive months and we have made reasonable attempts to contact you.

10.2 By You

You may delete your account at any time by navigating to Settings → Account → Delete Account in the app, or by submitting a formal request through our Data Deletion Form. Upon deletion:

Your account will be deactivated immediately, with a 30-day grace period during which you may reactivate it by logging back in.

After 30 days, all your personal data will be permanently and irreversibly erased from our active systems and backups in accordance with our Privacy Policy and the Personal Data Protection Act 2023.

All accumulated Bongo Points will be permanently forfeited with no right to compensation or transfer.

10.3 Effect of Termination

Upon termination or expiration of your account, your right to use the Service ceases immediately. Sections 6 (Content & IP), 8 (Privacy), 11 (Disclaimers & Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Severability) will survive termination and remain in full force and effect. BongoChat shall not be liable to you or any third party for any loss, damage, or expense arising from the suspension or termination of your account.

11. Disclaimers & Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. BONGOCHAT EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT:

The Service will be uninterrupted, timely, secure, or error-free.

The results obtained from the use of the Service will be accurate or reliable.

Any defects or errors in the Service will be corrected.

The Service is free of viruses, malware, or other harmful components.

11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF BANGLADESH, INCLUDING BUT NOT LIMITED TO THE CONTRACT ACT 1872 AND THE CONSUMER RIGHTS PROTECTION ACT 2009:

BONGO SOFTWARE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BONGOCHAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BONGOCHAT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO BONGOCHAT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR BDT 1,000 (ONE THOUSAND TAKA), WHICHEVER IS GREATER.

Note: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If applicable law does not allow such exclusions, the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable Bangladeshi law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bongo Software Limited, its directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising out of or related to:

Your use of or inability to use the Service.

Your violation of these Terms, our Community Guidelines, or any applicable law or regulation.

Your violation of any rights of a third party, including intellectual property rights, privacy rights, or any other proprietary rights.

Any content you submit, post, or transmit through the Service.

Any disputes between you and other users of the Service.

BongoChat reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with BongoChat's defense of that claim.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions. Any disputes arising under these Terms that cannot be resolved through the mechanisms described below shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

13.2 Applicable Legislation

Your use of the Service is subject to the following Bangladeshi legislation, among others:

Digital Security Act 2018 — Governing digital content, cybercrime, and online speech.

Personal Data Protection Act 2023 — Governing the collection, processing, storage, and protection of personal data.

Contract Act 1872 — Governing the formation, interpretation, and enforcement of this agreement.

Consumer Rights Protection Act 2009 — Governing consumer protection, fair trade practices, and refund rights.

Copyright Act 2000 & Trademark Act 2009 — Governing intellectual property rights associated with the Service.

Telecommunication Regulation Act 2001 — Governing the provision of telecommunication and digital services in Bangladesh.

13.3 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, you and BongoChat agree to attempt to resolve the matter through the following steps:

Informal Resolution: You agree to first contact us at [email protected] to attempt to resolve the dispute informally. We commit to responding in good faith within 15 working days.

Mediation: If the dispute cannot be resolved informally within 30 days, either party may submit the matter to mediation through a recognized mediation center in Dhaka, Bangladesh. The costs of mediation shall be shared equally between the parties.

Arbitration / Litigation: If mediation fails, the dispute shall be referred to arbitration under the Arbitration Act 2001 of Bangladesh, or alternatively, either party may file a suit in the competent courts of Dhaka, Bangladesh.

14. Changes to These Terms

BongoChat reserves the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make changes:

For material changes, we will provide at least 30 days' advance notice via an in-app notification and/or email to the address associated with your account. Material changes include, but are not limited to, changes affecting your rights, data practices, or liability provisions.

Non-material changes (such as minor clarifications, contact information updates, or formatting corrections) may be made without advance notice.

We will update the "Last updated" date at the top of this page whenever these Terms are revised.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated terms. If you do not agree with the changes, you must stop using the Service and delete your account before the new terms take effect.

15. Severability & Waiver

If any provision of these Terms is found by a court of competent jurisdiction in Bangladesh to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

The failure of BongoChat to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BongoChat.

16. Entire Agreement

These Terms, together with the গোপনীয়তা নীতি, constitute the entire agreement between you and Bongo Software Limited regarding the use of the Service and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral. If there is any conflict between these Terms and the Privacy Policy, the Privacy Policy shall prevail with respect to data protection and privacy matters.
